Agreement
These terms govern your use of the ITcontractor.co website and provide general information about how we operate. Specific service engagements are governed by separate service agreements executed between ITcontractor.co and the client.
Services
ITcontractor.co provides fractional IT services for remote teams, including but not limited to: IT setup and audits, device management, employee onboarding and offboarding, remote support, security and compliance, and SaaS management.
The specific scope, deliverables, and terms for each engagement are defined in individual service agreements. These website terms do not replace or override any executed service agreement.
Engagement Structure
Our services are typically provided on a monthly retainer basis. Each engagement begins with a discovery consultation to understand your IT environment and needs. Specific terms including:
- Monthly retainer fee and payment terms
- Scope of services and response times
- Duration and termination provisions
- Service level expectations
These are all defined in your individual service agreement prior to the start of any work.
Confidentiality
We treat all client information, system credentials, business data, and IT environment details as strictly confidential. We will not disclose your information to third parties without your written consent, except as required by law or as necessary to deliver the agreed-upon services (for example, coordinating with a hardware vendor you have approved).
Professional Liability
ITcontractor.co maintains professional liability insurance coverage. Details of coverage are available upon request and outlined in individual service agreements.
Limitation of Liability
While we take every reasonable precaution in managing your IT systems, ITcontractor.co’s total liability for any claim arising from our services is limited to the fees paid during the three-month period preceding the claim. We are not liable for indirect, incidental, or consequential damages, including lost profits or data loss, except where caused by gross negligence or willful misconduct.
Client Responsibilities
To ensure effective service delivery, clients are expected to:
- Provide timely access to systems, accounts, and information needed to perform services
- Designate a primary point of contact for IT decisions and approvals
- Notify us promptly of any security incidents or urgent IT needs
- Maintain current payment in accordance with the service agreement
Intellectual Property
Any documentation, playbooks, SOPs, or templates created specifically for your organization as part of an engagement are owned by you. General methodologies, tools, and processes developed by ITcontractor.co remain our intellectual property.
Termination
Either party may terminate an engagement as specified in the individual service agreement. Upon termination, we will:
- Provide a complete handoff of all credentials, documentation, and access
- Securely delete or return any client data in our possession
- Make ourselves available for a reasonable transition period
